These Terms of Use are an agreement between you and Vesper Works LLC (“Vesper”, “we”, “us”). You accept them when you select I agree, and by using Vesper. If you do not agree, do not use Vesper.
The short version. Use Vesper yourself, for your own work. Quote and cite what you find. Do not share your account, do not point scripts, bots or AI agents at it, and do not copy its data in bulk or resell it. Check anything important against the official record.
1. Your account
- Invitation only. Vesper accounts are issued by invitation. You must be at least 18 and able to enter into a binding contract.
- One person, one account. An account belongs to one named person, even when you use it for your employer or clients. Do not share it, your sign-in codes, or any access token issued to your session, and do not let anyone else use Vesper through your account.
- Accurate details. Give accurate information when you apply and keep your email address current.
- Your responsibility. You are responsible for activity under your account. If you think someone else has used it, tell us promptly at [email protected].
2. What Vesper is, and is not
Vesper gathers records that the State of Florida and other public bodies publish — solicitations, purchase orders, contracts, payments, appropriations, lobbying registrations, campaign finance and legislative records — and organises, links and analyses them. Some content, including summaries, classifications and answers from Ask, is generated automatically, in part by artificial intelligence.
- Not official. Vesper is not affiliated with or endorsed by the State of Florida or any agency, and it is not an official record. Before you rely on anything for a bid, protest, filing, deadline or other decision that matters, check it against the official source.
- Not advice. Vesper provides information only. It is not legal, financial, investment, procurement or lobbying-compliance advice.
- Not guaranteed. Public records contain errors, sources change without notice, and automated answers can be wrong or incomplete even when they cite a source. We work to show our sources and to flag disagreement between them, but we do not guarantee that anything in Vesper is accurate, complete or current.
3. What you may do
While you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable and revocable licence to use Vesper for your own research and your own work, including work for your employer or clients. That includes:
- reading, searching and saving items in Vesper;
- quoting or citing individual figures, records and short excerpts in your own work — memos, briefings, reports, proposals, articles — with credit to Vesper where reasonable; and
- sharing a screenshot or a link with a colleague.
Everything not expressly granted here is reserved.
4. What you may not do
You agree not to do any of the following, and not to help or allow anyone else to:
- Automated access. Access, query or copy Vesper by automated means — including scrapers, crawlers, bots, scripts, browser automation, AI agents or assistants acting on your behalf (such as Claude, ChatGPT, Codex, Copilot or similar tools), Model Context Protocol (MCP) servers or other tool connectors — other than the Vesper website and apps as we provide them, used by you in person.
- Direct calls. Call Vesper’s application interfaces, database endpoints or other backend services directly, or extract, reuse or share the keys or session tokens that the Vesper apps use, except through the apps’ ordinary operation.
- Bulk extraction. Download, copy, compile or store a substantial part of Vesper’s data, or retrieve data systematically to build or add to a database, dataset, directory or list — whether in one session or over time.
- Redistribution. Sell, license, publish or redistribute Vesper’s data, compilations or outputs, or use them to build, train, fine-tune, evaluate or improve any product, service, dataset or AI model that competes with or substitutes for Vesper.
- Getting around limits. Bypass or interfere with sign-in, usage limits or any other access or security control; use more than one account, or someone else’s, to get around a limit or a suspension; probe or test Vesper for vulnerabilities without our written permission; or reverse engineer the apps except where the law expressly allows it.
- Misusing contact details. Use the contact details of public employees or anyone else shown in Vesper for bulk or automated messaging, marketing lists, harassment, or anything that breaks anti-spam, telemarketing or privacy law.
- Harm. Overload or disrupt Vesper, introduce malicious code, impersonate anyone, or use Vesper unlawfully or to violate anyone’s rights.
Screen readers and other assistive technology, and ordinary browser features such as translation, zoom and password managers, are not automated access. If you need data in bulk or programmatic access for a legitimate purpose, ask — we may be able to arrange it in writing.
These Terms govern how you use Vesper. They do not limit your right to request public records directly from the agencies that hold them under Florida’s public records law.
5. Limits and monitoring
Vesper applies usage limits — for example to Ask and to contact lookups — and may add or change them. We log account activity as the Privacy Policy describes, and we review it to run Vesper, keep it secure and enforce these Terms, including to detect automated access and bulk extraction.
6. Who owns what
- Public records. The underlying public records belong to the public. We claim no ownership of the facts in them.
- Vesper. The software, design and compilation — the selection, arrangement, normalisation, entity matching, classification, summaries, analyses and other content we create — belong to Vesper Works LLC and its licensors and are protected by copyright, trade secret and other law as well as by these Terms. “Vesper” and the compass rose mark are ours.
- Feedback. If you send us suggestions or corrections, we may use them without any obligation to you.
7. Your content
Your saved items, questions and bug reports remain yours. You permit us to store and process them to run Vesper as the Privacy Policy describes. Questions you put to Ask are sent to our AI provider to generate answers, so do not submit anything you are not permitted to share.
8. Suspension and ending
- You may stop using Vesper and delete your account at any time from Settings.
- We may suspend, limit or end your access at any time, with or without notice — including if we reasonably believe you have broken these Terms, section 4 especially, or to protect Vesper, its users or anyone else. We may also change or discontinue Vesper.
- After. When your access ends, your licence ends, and you must delete any data you obtained in breach of section 4. Sections 4 and 6, and 9 through 14, continue to apply.
9. Fees
Any fee for Vesper is set out in a separate written arrangement with you. Unless that arrangement says otherwise, these Terms govern your use of Vesper.
10. No warranty
Vesper is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and we do not promise that Vesper will be uninterrupted, secure or error-free.
11. Limit of liability
To the fullest extent the law allows, Vesper Works LLC and its members, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, contracts, bids, goodwill or data, arising out of or relating to Vesper or these Terms. Our total liability for all claims relating to Vesper or these Terms is limited to the greater of the amount you paid us for Vesper in the twelve months before the claim arose, or one hundred US dollars. Some jurisdictions do not allow these exclusions, so some may not apply to you.
12. Indemnity
You will defend, indemnify and hold harmless Vesper Works LLC and its members and employees against any third-party claim, and the resulting losses and reasonable costs, arising from your breach of these Terms or your misuse of Vesper.
13. Enforcement and disputes
- Relief. Unauthorised extraction or redistribution can harm Vesper in ways money cannot fully repair, so we may seek an injunction or other equitable relief in addition to any other remedy.
- Law and venue. Florida law governs these Terms, without regard to its conflict-of-laws rules. Any dispute belongs exclusively in the state or federal courts located in Leon County, Florida, and you and we consent to their jurisdiction.
14. The iOS app
If you use the Vesper app from Apple’s App Store, these points also apply:
- These Terms are between you and Vesper Works LLC only, not Apple. Apple is not responsible for the app or its content, and has no obligation to provide maintenance or support for it.
- If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the fullest extent the law allows, Apple has no other warranty obligation for the app.
- Apple is not responsible for any claim about the app, including product liability, legal or regulatory compliance, consumer protection, or a third party’s claim that the app infringes its intellectual property.
- You confirm that you are not located in a country subject to a US Government embargo or designated as supporting terrorism, and that you are not on any US Government list of prohibited or restricted parties.
- You must comply with the App Store’s usage rules and any third-party terms that apply when you use the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you with respect to the app.
15. Changes
We may update these Terms. When a change is material, we will ask you to accept the new version before you continue using Vesper; the version line below shows which is current. Smaller corrections take effect when they are posted here.
16. The rest
These Terms, the Privacy Policy and any separate written arrangement with you are the whole agreement about Vesper. If a court finds part of these Terms unenforceable, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours as part of a reorganisation or sale of the business. We may send notices to your account’s email address.
